1. Agreement to Terms

By accessing or using the DC Capital Investments platform ("Platform"), operated by DDK Mortgage Solutions ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and the Company regarding your use of the Platform and any investment opportunities presented through the Platform.

2. Eligibility and Accreditation

To use the Platform and participate in investment opportunities, you must:

• Be at least 18 years of age
• Be a legal resident of the United States
• Qualify as an "accredited investor" as defined by the U.S. Securities and Exchange Commission (SEC) under Rule 501 of Regulation D
• Provide accurate and complete information during the registration and verification process
• Maintain the confidentiality of your account credentials

An accredited investor is defined as an individual with a net worth exceeding $1,000,000 (excluding primary residence) or annual income exceeding $200,000 ($300,000 with spouse) for the past two years with reasonable expectation of the same.

3. Investment Risks

IMPORTANT: Investments in private lending and real estate-secured loans involve significant risks, including but not limited to:

• Loss of Principal: You may lose some or all of your investment
• Illiquidity: Investments are not publicly traded and may be difficult or impossible to sell
• Borrower Default: Borrowers may fail to make payments or default entirely
• Property Value Decline: Real estate values may decrease, affecting loan security
• Economic Conditions: Market downturns may adversely affect investment performance
• Limited Information: You may receive limited information about borrowers and properties
• No Guaranteed Returns: Past performance does not guarantee future results

You should carefully consider these risks and consult with qualified financial, legal, and tax advisors before making any investment decisions. Only invest funds you can afford to lose entirely.

4. No Investment Advice

The Company does not provide investment, legal, tax, or financial advice. All information provided on the Platform is for informational purposes only and should not be construed as a recommendation to invest.

You are solely responsible for evaluating the merits and risks of each investment opportunity. We strongly encourage you to seek independent professional advice before making investment decisions.

5. Investment Process

When you commit to invest through the Platform:

• Your commitment is subject to our acceptance and availability of the investment opportunity
• You agree to fund your commitment within the specified timeframe
• Failure to fund may result in removal from the investment and potential penalties
• All investments are subject to our subscription agreement and related documentation
• Minimum investment amounts vary by opportunity and are displayed on each deal page

6. Fees and Expenses

The Company may charge fees for services provided through the Platform, including but not limited to:

• Servicing fees
• Origination fees (charged to borrowers)
• Administrative fees
• Wire transfer fees

All applicable fees will be disclosed prior to your investment commitment. Fees are subject to change with notice.

7. Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized use
• Ensuring your contact information remains current and accurate

8. Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is the property of the Company or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from your use of the Platform shall not exceed the amount of fees paid by you to the Company in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, violation of these Terms, or infringement of any rights of another party.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Virginia, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Virginia, and the decision shall be final and binding.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.

13. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
